Ethics Management Governance

DL E&C has established an Audit Committee under the Board of Directors to deliberate and resolve all major matters related to ethical management and to exercise thorough oversight of the ethics and compliance system. In addition, we are strengthening the ethical management system at the company-wide level to practice ethical management. For effective ethical management, we have established a working group under the Compliance Management Office to carry out preventive measures, monitoring, follow-up and recurrence prevention activities. We regularly report to the CEO and Audit Committee on all ethical management activities, from the planning stage to the results and progress of improvements, including management diagnosis and reports.

Responsible for oversight of business ethics and corruption issues

DL E&C appoints a General Counsel to create a transparent management environment and fulfill its social responsibilities and ensures that activities are carried out in accordance with compliance control standards. The General Counsel provides oversight and reports to the Board of Directors at least four times a year on the performance of ethics and compliance activities, including compliance support efforts. The Counsel also report other occasional situations. The Audit Committee under BOD ensures the implementation of ethical management through deliberation and decision-making on major ethical management activities and conducts strict supervision and control over the operation of the corporate ethics and compliance system.

Ethical Management Training

DL E&C conducts ethics training every year for all employees (Including Part-time, Contractors, Overseas branches, Subsidiaries (e.g., DL Construction, CARBONCO). Starting in 2023, we are expanding consensus on practicing ethical management by providing ethics education materials to our contractors. Ethics training covers major ethical management issues, such as the code of ethics and practice guidelines that form the basis of our ethical management and anti-corruption. We plan on quantitatively and qualitatively improving our ethics education programs for managements, board of directors, and contractors every year to reflect the rapidly changing internal and external business environment.
